CovenantFlow

Product

The platform behind AI-powered covenant management.

Three surfaces working together. The credit team's dashboard. The borrower's portal. The AI engine reading every page in between. This is what's actually shipping today.

Three surfaces

One platform, three audiences.

Most covenant tooling treats banker and borrower as separate problems with separate apps. CovenantFlow runs them on the same data model so nothing falls through the gap.

Banker side

The credit team's command center

Every covenant across the portfolio in one view. Compliance dashboard, watch list, alert routing, audit trail. Designed for portfolio managers and RMs who already live in nCino: embedded as a Lightning component on the Loan record, with the same data also available standalone.

  • Filter and roll up by RM, region, loan type, industry, and compliance status
  • Pin clients to a personal watch list
  • Drill from any covenant to its source clause in the loan agreement
  • Track AI confidence scores and flagged-for-review covenants

Customer side

A portal that does the borrower's work for them

Borrowers connect QuickBooks or Xero once. Financials flow automatically. Compliance certificates auto-fill. Outstanding requests live in one place with deadlines and status. The portal removes the friction that makes quarterly financials late.

  • One-click accounting connection via Codat (QuickBooks, Xero, NetSuite, Sage, Dynamics)
  • Bank balance verification via Plaid for relationship covenants
  • Auto-fulfillment of document requests when accounting is connected
  • Read-only access, revocable at any time

AI core

Reading every clause, every quarter

The platform's foundation: a covenant-extraction model trained on commercial loan documents. It pulls financial, affirmative, negative, environmental, and reporting covenants out of agreements and amendments, with thresholds, frequencies, definitions, and cure rights preserved. Human review built in.

  • Confidence-scored extraction with human-in-the-loop confirmation
  • Detects carve-outs, step-ups, definition substitutions, and cure rights
  • Re-extracts when amendments are signed via DocuSign or Adobe Sign
  • PDFs streamed once, not retained by the AI provider

AI extraction

How the AI reads a loan agreement.

Five steps from upload to live monitoring. Human review is in the loop at step three so the credit team always owns the data that gets committed.

  1. 01

    Upload

PDF lands in nCino's document repo, DocuSign envelope completes, or a banker drops it directly into CovenantFlow. Any of those triggers extraction.

  2. 02

    Read

The AI ingests every page, identifies covenant clauses, and pulls structured fields: name, type, threshold, frequency, borrowing entity, definition, exceptions, cure rights.

  3. 03

    Review

Each extracted covenant appears in a confirmation step with a confidence score. Low-confidence items are flagged. Your credit team accepts, edits, or rejects.

  4. 04

    Apply

Confirmed covenants attach to the loan in CovenantFlow and write back to the LOS as native covenant records. Threshold tracking starts immediately.

  5. 05

    Re-extract on amendments

When an amendment or waiver is signed via DocuSign, the platform automatically re-runs extraction and surfaces what changed for your review.

Architecture

Sits inside your stack, not parallel to it.

CovenantFlow is the system of engagement for covenants. The loan is owned by your LOS (nCino, Loan IQ, Abrigo). The borrower identity lives in your core. The customer touches flow through our portal. Our job is to make those surfaces honest.

Identity flows in

Borrower records and loan structure flow from your LOS. We never become the master record for the loan itself.

Covenants flow back

Extracted covenants are written into your LOS as native records. Live in both surfaces, single source of truth.

Signal flows out

Compliance status, breach alerts, and the immutable audit log export to your data lake or your messaging tools.

Built for the people who do the work

What it looks like for each role.

Portfolio Manager

See every covenant across the book at once. Sort by drift, by industry concentration, by RM. Flag at-risk segments before quarter-end committee.

Relationship Manager

Open a client and see covenant status, recent financials, outstanding requests, and next steps in one view. The compliance work disappears into the workflow.

Credit Committee

Pull a clean compliance packet for any loan in seconds. Source clauses, threshold history, breach response chain, all in one PDF.

Risk & Audit

Append-only log captures every covenant edit, document upload, and access event. Examiner asks the question; the answer is one click away.

Borrower

Connect accounting once. Fulfill requests with one click. See exactly what the bank is watching and respond on the same surface.

See it on your own loan agreement.

45 minutes. We run a real document through the AI in front of you. Extraction, confirmation, write-back to a sandbox nCino, live monitoring. End to end.
