Terms of Service
These Terms govern your use of the marketing site at covenantflow.ai (the "Site"), operated by Catalyze Labs, LLC ("Catalyze Labs", "we", "our", or "us"). They apply to this Site only. The CovenantFlow application used by banks and lending institutions is governed by a separate master agreement between Catalyze Labs and the customer institution.

1. Acceptance
Agreement to these Terms.
By accessing or using the Site you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.
We may update these Terms from time to time. The effective date above reflects the latest version. Material changes will be highlighted at the top of this page for 30 days after they take effect. Continued use of the Site after a change means you accept the updated Terms.
2. Eligibility
Who can use the Site.
You must be at least 18 years old and able to form a binding contract to use the Site. The Site is intended for business audiences (commercial lenders, bank credit teams, and related professionals) and is not directed to children.
3. License to use
What you may do on the Site.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal or internal business use. This license does not include the right to:
- Resell, sublicense, or commercially exploit any portion of the Site.
- Frame, mirror, or republish the Site or its content as your own.
- Use the Site in any way not expressly permitted by these Terms.
4. Acceptable use
Prohibited conduct.
You agree not to do any of the following in connection with the Site:
- Use automated tools (bots, scrapers, crawlers beyond standard search engine indexing) to access, copy, or harvest content from the site.
- Use the content, including the Insights blog, to train or fine-tune machine learning or generative AI models without our prior written permission.
- Reverse engineer, decompile, or attempt to extract the source code or non-public design of the site or its underlying systems for purposes of building or supporting a competing product.
- Interfere with or disrupt the site, the servers or networks that host it, or any other user's access.
- Attempt to gain unauthorized access to any portion of the site, including the CMS at /admin, or to any related accounts, systems, or data.
- Probe, scan, or test the vulnerability of the site without our prior written authorization.
- Upload or transmit viruses, malware, or any code intended to disrupt, damage, or limit the functioning of any software or hardware.
- Misrepresent your identity or affiliation, including impersonating CovenantFlow, Catalyze Labs, or another person.
- Use the site to send spam, phishing, or other unsolicited communications, or to collect personal information about other users.
- Use the site in violation of any applicable law or regulation, or to facilitate any unlawful activity.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notice on the site.
We may investigate suspected violations of these Terms, suspend access, remove content, and take any other action we believe is appropriate, including referral to law enforcement.
5. Intellectual property
Our content stays ours.
The Site and all content on it (including text, graphics, logos, images, the CovenantFlow and Catalyze Labs names and marks, software, and the look and feel) are owned by Catalyze Labs or our licensors and are protected by copyright, trademark, and other intellectual-property laws. All rights not expressly granted to you in these Terms are reserved.
"CovenantFlow", the CovenantFlow logo, and "Catalyze Labs" are trademarks of Catalyze Labs, LLC. Other product and company names mentioned on the Site are the trademarks of their respective owners and are referenced for identification only.
6. Your submissions
Information you send through the Site.
When you fill out the contact form, book a demo, subscribe to the newsletter, or send us feedback, you are sharing information with us. By doing so:
- You represent that you have the right to share the information you submit and that it is accurate.
- You grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, and process the submission for the purposes described in our Privacy Policy (e.g. responding to your inquiry, running a demo, delivering the newsletter).
- If you send us suggestions, feedback, or ideas about our products or services, you agree we may use them freely, without restriction or obligation to you.
7. Third-party services & links
What we don't control.
The Site uses third-party services (e.g. Cal.com for demo booking, Google Analytics for traffic measurement) and may link to other websites. We are not responsible for the content, policies, or practices of those services or sites. Your use of them is governed by their own terms.
A list of the third-party services we use is maintained in our Privacy Policy.
8. Disclaimers
The Site is provided "as is".
To the maximum extent permitted by law, the Site and all content are provided "as is" and "as available", without any warranty of any kind.
We disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.
Information on the Site (including blog posts, product pages, and integration descriptions) is provided for general informational purposes only and does not constitute legal, financial, regulatory, or other professional advice.
9. Limitation of liability
What we are not liable for.
To the maximum extent permitted by law, Catalyze Labs and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Site.
Our total aggregate liability arising out of or related to the Site will not exceed one hundred US dollars ($100). This limitation applies regardless of the legal theory and even if we have been advised of the possibility of such damages. Some jurisdictions do not allow these limitations, so they may not apply to you in full.
10. Indemnification
If your use of the Site causes us harm.
You agree to indemnify and hold harmless Catalyze Labs and its officers, directors, employees, and agents from any claim, demand, loss, or damage, including reasonable attorneys' fees, arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.
11. Governing law
Delaware law applies.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12. Disputes
Try to work it out first, then Delaware courts.
Informal resolution first
If you have a dispute with us related to the Site, please email us at legal@covenantflow.ai with a description of the dispute and the resolution you are seeking. We agree to negotiate in good faith to resolve the dispute. Neither party may file a lawsuit until at least 60 days after this notice, except for claims seeking injunctive relief related to intellectual property or Site security.
Exclusive jurisdiction
If informal resolution fails, any lawsuit must be brought exclusively in the state or federal courts located in Wilmington, Delaware. Both parties consent to personal jurisdiction and venue in those courts and waive any objection based on inconvenient forum.
Time limit
Any claim related to the Site must be filed within one (1) year after it arises, or it is permanently barred.
13. Termination
When access can be ended.
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. You may stop using the Site at any time. Sections that by their nature should survive termination (including IP, disclaimers, liability limits, indemnification, governing law, and disputes) will survive.
14. Miscellaneous
The fine print, briefly.
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Catalyze Labs regarding the Site and supersede any prior agreements on the same subject.
Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
No waiver. Our failure to enforce any right under these Terms is not a waiver of that right.
Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
No agency. These Terms do not create any partnership, joint venture, agency, or employment relationship.
